Welcome to SEOpital (“we”, “us”, or “our”), an application dedicated to creating high-quality content for blogs using artificial intelligence. By creating an account or otherwise using SEOpital (the “Service”), you agree to comply with these Terms and Conditions of Use (“TCU”). Please read them carefully before accessing or using the Service.
2. Acceptance of Terms
2.1 Binding Agreement
These TCU constitute a legally binding agreement between you and SEOpital. By accessing or using the Service, you agree to be bound by these TCU and all terms incorporated by reference. If you do not agree to these TCU, you must not use or access the Service.
2.2 Eligibility
You represent that you are at least the age of majority in your jurisdiction or that you have obtained parental/guardian consent, and that you are fully able and competent to enter into and abide by these TCU.
3. Description of Services
3.1 AI-Powered Content Generation
SEOpital provides a platform where users can generate content for their blogs using artificial intelligence tools. This may include, but is not limited to, articles, SEO analysis, and content recommendations (“Generated Content”).
3.2 Service Updates
We may from time to time develop patches, bug fixes, updates, upgrades, and other modifications to improve the performance of the Service. We reserve the right to implement these updates at any time without prior notice to you. The modalities and details of your subscription or one-time credit usage are provided to you via email and are accessible from your user account at all times.
4. User Registration and Account
4.1 Registration
To use certain features of SEOpital, you must create an account by providing accurate, current, and complete information. You agree to update your information as necessary to maintain its truthfulness and accuracy.
4.2 Account Responsibility
You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to immediately notify SEOpital of any unauthorized use of your account.
5. Subscription Plans and One-Time Credits
5.1 Overview
SEOpital offers:
- Monthly Subscription: Automatically renews on the monthly anniversary date.
- Annual Subscription: Automatically renews on the annual anniversary date.
- One-Time Credits: Credits purchased once and valid for life (“Lifetime Credits”).
5.2 Auto-Renewal
Unless you cancel your subscription prior to the renewal date, your subscription will automatically renew under the same conditions. You will be charged the applicable subscription fee at the time of renewal unless you cancel from your account settings or by contacting us at idriss@seopital.co before the renewal.
5.3 Cancellation
- Subscription Plans: You can cancel your subscription at any time before the next renewal date. Cancellation becomes effective at the end of the current billing cycle.
- One-Time Credits: Once purchased, one-time credits do not expire and cannot be canceled or refunded except as required by law or at SEOpital’s discretion.
5.4 Updates to Subscription Content
The features and offerings included in each subscription plan may be updated or modified from time to time. Updates to plan features will be communicated to you via email and will be accessible in your user account.
6. Payment Terms
6.1 Pricing
The price of the Service (including subscription fees and one-time credit costs) will be as quoted on our website or application. All prices are subject to change, and we will provide notice of any price changes through the Service or by other means.
6.2 Payment Methods
You must provide a valid payment method to pay for subscriptions or one-time credits. By submitting payment information, you authorize SEOpital to charge all fees incurred through your account.
6.3 Failed Payments
If payment is not successfully settled, due to expiration, insufficient funds, or otherwise, we may suspend or cancel your access to the Service and/or subscription.
7. Acceptable Use
7.1 Lawful and Ethical Use
You agree to use SEOpital in compliance with all applicable laws, regulations, and these TCU. You must not use SEOpital for any unlawful purpose or in any way that could damage, disable, overburden, or impair our servers or networks.
7.2 Prohibited Content
You must not use SEOpital to create, post, or share any content that is:
- Defamatory, abusive, or harassing,
- Pornographic, obscene, or offensive,
- Fraudulent, misleading, or violates any law or regulation,
- Violative of intellectual property rights or any other rights of third parties.
8. Intellectual Property
8.1 Ownership of Generated Content
All content generated by SEOpital on your behalf (“Generated Content”) remains your property, provided you adhere to these TCU and applicable laws, including copyright laws. You are responsible for ensuring that your use of any Generated Content complies with all legal requirements.
8.2 Ownership of SEOpital
All software, data, text, images, and other content (excluding Generated Content) forming part of the Service (“SEOpital Content”) are owned by or licensed to SEOpital and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Service as permitted by these TCU.
9. Disclaimer and Limitation of Liability
9.1 Disclaimer
SEOPITAL AND ITS SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEOPITAL AND ITS AFFILIATES, PARTNERS, OR LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM (A) THE USE OR INABILITY TO USE THE SERVICE; (B) ANY ERRORS OR OMISSIONS IN THE GENERATED CONTENT; OR (C) ANY OTHER MATTERS RELATING TO THE SERVICE.
10. Indemnification
You agree to indemnify, defend, and hold harmless SEOpital, its officers, directors, employees, and agents from and against all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney’s fees) arising from (a) your use of and access to the Service; (b) your violation of any term of these TCU; or (c) your violation of any third-party right, including without limitation any intellectual property or privacy right.
11. Termination
11.1 By SEOpital
We reserve the right to suspend or terminate your account or access to the Service at any time, with or without notice, for any reason, including if we reasonably believe you have violated these TCU.
11.2 By User
You may terminate your account at any time by following the account cancellation instructions in your user dashboard or by contacting idriss@seopital.co. Please note that such termination may not entitle you to a refund.
12. Modifications to the TCU
We reserve the right to modify these TCU at any time. If we make material changes, we will provide notice through the Service or by other means. Your continued use of the Service after such modifications become effective constitutes your acceptance of the revised TCU.
13. Governing Law and Jurisdiction
These TCU and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of FRANCE, without regard to conflict of law provisions. Any legal suit, action, or proceeding arising out of or relating to these TCU shall be instituted in the courts of FRANCE, and each party irrevocably submits to the jurisdiction of such courts in any such suit, action, or proceeding.
